1. All Sales Are Final. We do not offer refunds once a store build has begun or been completed, regardless of reason.
2. No Guarantee of Results. We do not guarantee profit, sales, traffic, or business success of any kind. We provide a custom-built store, supporting guidance, and the tools we believe give you the best possible starting point. What you do with them, and any results you achieve or fail to achieve, are entirely your own responsibility. Any figures, case studies, or results referenced anywhere on this site (including advertising spend or return figures) reflect a specific individual outcome, are not typical, and are not a projection, promise, or guarantee of what you should expect.
3. Limitation of Liability. To the maximum extent permitted by law, MeridianCommerce's total liability for any claim arising from or relating to our services, however caused, is limited to the amount you paid for the package purchased. We are not liable for any indirect, incidental, special, consequential, or punitive losses, including lost profits, lost revenue, lost data, or lost business opportunities, even if we have been advised of the possibility of such losses.
4. Waiver of Claims. By purchasing any package, you agree to waive, to the fullest extent permitted by law, any right to bring legal action against MeridianCommerce, its owners, staff, contractors, or affiliates in connection with the service provided, except where such a waiver is not permitted under applicable law.
5. Indemnification. You agree to indemnify and hold harmless MeridianCommerce and its owners, staff, contractors, and affiliates against any claims, losses, damages, costs, or legal fees arising from your use of the store, your advertising, your products or suppliers, your business practices, your breach of these terms, or your violation of any third-party platform's terms of service or applicable law.
6. Ownership & Deliverables. Ownership of your store, logo, and branding transfers to you upon full payment. MeridianCommerce retains the right to showcase completed work in its own portfolio and marketing unless you request otherwise in writing.
7. Working Hours. Our working hours are 8AM – 8PM. Any support or work requested outside of these hours is handled on a best-effort, optional basis and is not guaranteed.
8. Delivery Times & Unforeseen Delays. Delivery estimates, including the 4–12 hour build window, are targets rather than guarantees. Delays may occur for reasons that are unforeseen or outside our reasonable control, and we are not liable for any loss, cost, or inconvenience arising from a delay.
9. Force Majeure. We are not responsible for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to load shedding or power outages, internet or network outages, platform or software failures (including Shopify, Meta, Google, Instagram, or any payment processor), third-party account restrictions or suspensions, illness, staffing shortages, or any other event beyond our control.
10. Third-Party Platforms. We are not responsible for the decisions, policies, outages, account suspensions, ad rejections, or changes made by any third-party platform, including Shopify, Meta/Facebook, Instagram, Google, or any payment processor. Compliance with each platform's own terms of service is your responsibility.
11. Client Responsibilities. You are responsible for providing accurate information, timely responses, any necessary account access, and legitimate, compliant products and suppliers. You are solely responsible for ensuring your business, products, marketing, and advertising comply with all applicable laws in any jurisdiction you operate or sell into.
12. No Professional Advice. Nothing provided by MeridianCommerce constitutes legal, financial, tax, or business advice. You should seek independent professional advice before making business decisions.
13. Assumption of Risk. You acknowledge that operating an online or dropshipping business carries inherent financial risk, and that by purchasing any package you knowingly and voluntarily assume that risk.
14. No Warranty. All services and deliverables are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including any warranty of merchantability or fitness for a particular purpose.
15. Payment Disputes. By purchasing, you agree not to file a chargeback or payment dispute for any matter covered by these terms, and agree to contact us directly first to resolve any concern.
16. Severability. If any part of these terms is found unenforceable, the remaining terms continue to apply in full.
17. Modification of Terms. We may update these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
18. Entire Agreement. These terms, together with any specific written agreement between you and MeridianCommerce, constitute the entire agreement between the parties and supersede any prior discussions or representations.
19. Governing Law & Acceptance. These terms are governed by the laws of South Africa. By purchasing, you confirm that you have read, understood, and accepted all terms stated here in full.
